Terms and Conditions for Website Development Services
- Agreement
These Terms and Conditions constitute a legally binding agreement between you (the “Client”) and Northern Light Media (Yorkshire ) Limited (the “Developer”) regarding the provision of website development services. By signing this agreement or using our services, you agree to comply with these terms.
- Scope of Work
The Developer agrees to provide website design, development, and maintenance services as outlined in the project proposal or scope of work document shared with the Client. Any additional services will be billed separately and require written approval from both parties.
- Project Timeline
The Developer will use commercially reasonable efforts to complete the project by the deadlines set in the proposal or as agreed upon by both parties. However, delays due to unforeseen technical issues, Client delays in providing materials or feedback, or changes in project scope may impact the timeline.
- Payment Terms
- Deposit: A percentage deposit is required before work begins.
- Milestone Payments: Payments will be made in stages and the exact milestones and payment schedule will be outlined in the project proposal.
- Late Payments: Payments not made within the milestones may delay the project launch.
- Client Responsibilities
The Client agrees to:
- Provide all necessary content, such as text, images, and media, within the agreed timeframe or discuss possible support with The Developer if needed.
- Review and approve project milestones within the agreed timescale.
- Make any payments on time as agreed upon in the payment schedule.
- Adhere to the expectations section outlined in the proposal.
- Revisions
The Client is entitled to 2 rounds of revisions prior to launch. Any additional revisions beyond this will be charged at our hourly rate.
- Ownership and Intellectual Property
- Website Ownership: Upon final payment, the Client will own the website and all its content, excluding third-party components, libraries, or plugins that may be subject to separate licensing agreements.
- Code: Custom code developed for the website will become the property of the Client upon final payment, but the Developer retains the right to use the code for future projects.
- Trademarks and Logos: The Client warrants that they own the rights to any logos, trademarks, or materials provided for the website. The Developer will not be liable for any intellectual property disputes that arise.
- Third-Party Services
If the project requires third-party services (e.g., hosting, domain registration, plugins), the Client is responsible for all costs and agreements with third-party providers unless agreed with The Developer.
- Confidentiality
Both parties agree to keep all confidential information obtained during the project private and not to disclose it to any third parties without written consent. This includes business practices, financial information, or technical data.
- Warranty and Liability
- Limited Warranty: The Developer warrants that the website will function as described in the project proposal for 28 days after delivery. During this period, any bugs or errors will be corrected free of charge.
- Limitation of Liability: The Developer shall not be liable for any indirect, incidental, or consequential damages, including but not limited to data loss, business interruption, or loss of profits, arising from the use or inability to use the website.
- Termination
Either party may terminate this agreement if the other party breaches a material term of this agreement. Upon termination, the Client will be required to pay any outstanding amounts as outlined in the proposal.
- Force Majeure
The Developer shall not be responsible for any delay or failure to perform due to circumstances beyond its control, including but not limited to natural disasters, acts of war, or labour disputes.
- Dispute Resolution
Any disputes arising under this agreement shall first be attempted to be resolved through good-faith negotiation. If negotiations fail, a more formal legal outcome maybe pursued.
- Entire Agreement
These Terms and Conditions, along with any project proposal, represent the entire agreement between the parties. Any modifications to this agreement must be made in writing and signed by both parties.
